These Terms of Service ("Terms") form a legal agreement between Imediasport Arts and Entertainment Limited ("Imediasport / us / we"), the creator and legal owner of The Call Back, a television show deriving from a competition where 'Tweens' upload talent videos to be judged and voted on by industry experts ("Competition") run on the website www.thecallback.co.uk ("Website").

You must be between the ages of 8 and 14 in order to enter the Competition.

The Competition will take the format of stages. Stage 1 will involve entrants registering with the Website and uploading two minute clips of their performances onto the Website. Stage 2 will involve entrants filming themselves and their family for 4 days at their home. Stage 3 will involve finalists and their guardians being involved in a one day final in London (each a "Stage" and together the "Stages").

In order to enter the Competition your parent or guardian's consent is required. We will notify your parent or guardian by email when you register on the Website and require them to provide consent. Any Content you provide to the Website will not go live to the general public until the consent has been received from the parent/guardian.

You agree to film footage daily of your rehearsals and daily life, which you will then upload to the Website via [ to "we transfer" file] on a daily basis.

You agree to allow Imediasport to visit your family home to record footage of your family. Imediasport shall obtain the consent of each person appearing in such footage (or the consent of the parent or guardian if applicable) before it uploads it onto the Website.

You agree and accept that Imediasport may edit the footage and upload it onto the Website for users of the Website to watch.

If you are selected as a finalist in the Competition, you agree to participate in interviews, workshops and auditions and other such activities that Imediasport requires of you. These activities will take place over one day in London.

For stage 3, you agree and accept that if you are selected as winner of the Competition, it is up to the discretion of Imediasport to select a prize ("Prize").

You agree and accept that Imediasport has the right to change the Prize and also that Imediasport has discretion over the timing of the award of the Prize.

You accept that no cash alternative is available as a substitute for the Prize.

You acknowledge that, before any Prize is granted, Imediasport may require you to enter into a further agreement containing terms and conditions relating to the Prize.

The Terms govern your access to the Website and use of its services (the "Services"), and any information, text, graphics, or other materials uploaded, downloaded or appearing on the Services (collectively referred to as "Content").

Your access to and use of the Services is conditional on your acceptance of and compliance with these Terms and all applicable laws, which, by attempting to access, browse or use the Website and/or accessing, browsing or using the Website and the Services you accept, without limitation or qualification. Any other agreements between you and Imediasport are superseded with respect to the subject matter hereof. In addition, if there is any conflict between these Terms and any other material or statements on the Website, save where otherwise stated, these Terms and Conditions will prevail.

You may use the Services only in compliance with these Terms and all applicable local, national, and international laws, rules and regulations.

All rights, title, and interest in the Website and the Services (excluding the Content provided by Users) are and will remain the exclusive property of Imediasport and its licensors.

Nothing in the Terms gives you a right to use or copy the Imediasport name or any of the Imediasport trademarks, logos, domain names, other distinctive brand features including the unique navigational system through which the Website operates, and any other intellectual property of Imediasport.

Imediasport assumes no responsibility and shall not be liable for, any damage or harm to, or viruses that may infect, your computer equipment or any other property whatsoever on account of your access to, use of, or browsing of the Website or Services or your downloading of any Content from the Website.

Imediasport accepts no responsibility or liability for the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services. We make no warranty that the Website and/or the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

Imediasport assumes no liability or responsibility for any errors or omissions in the Content of the Website.

Imediasport gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive licence to use the software that is provided by Imediasport as part of the Services. All Content, whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such Content. We may not monitor or control the Content posted via the Services and, we cannot take responsibility for such Content. Any use or reliance on any Content or materials posted via the Services or obtained by you through the Services is at your own risk.

To the extent required by law, no representations, warranties or terms of any kind are made (or shall be implied by statute or otherwise) in respect of the Website or the Content, including without limitation, warranties of accuracy and adequacy for any particular purpose.

Imediasport does not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services or endorse any opinions expressed via the Services.

You understand that by using the Services, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive.

Imediasport respects the intellectual property rights of others and expects users of the Services to do the same. Users may download Content for non-commercial, personal use, provided they also retain all copyright and other proprietary notices contained in the Content or on the Website. Users may not, however, distribute, modify, transmit, reuse, report or use the Content for public or commercial purposes without Imediasport's prior written permission.

The Services may contain links to third-party websites or resources that are not under the control of Imediasport. Links to such websites or resources do not imply any endorsement by Imediasport of such websites or resources or the content, products, or services available from such websites or resources and Imediasport has not reviewed any or all of the third-party websites.

The Content you submit, post, or display will be able to be viewed and accessed by other users of the Services and through third party services and websites and will be associated with your Imediasport account. You should only provide Content that you are comfortable sharing with others under these Terms.

You grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license in perpetuity to use any Content that you post on the Website or in connection with the Services.

This Content license ends when you delete your Content or your account (at which point all your Content will be deleted) unless your Content has been shared with others, and they have not deleted it.

Any personal data (including without limitation your name, address, telephone number or email address) transmitted to the Website by electronic means or otherwise, will be used by Imediasport in accordance with the Privacy Policy. Any other content, communication or material transmitted to the Website will be treated as non-confidential and non-proprietary and otherwise in accordance with these Terms.

You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of your personal data, including the transfer of this information to the United Kingdom and/or other countries for storage, processing and use by Imediasport.

As part of providing you the Services, we may need to provide you with certain communications, such as service announcements and administrative messages. These communications are considered part of the Services and your Imediasport account, which you may not be able to opt-out from receiving.

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password.

We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account.

Imediasport cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

Such additional use by Imediasport may be made with no compensation paid to you with respect to the Content that you submit, post, transmit or otherwise make available through the Services.

We may modify or adapt your Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Content as are necessary to conform and adapt that Content to any requirements or limitations of any networks, devices, services or media.

You are responsible for your use of the Services, and you represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any Content that you submit, and any material you submit to the Website is your own original work. You agree to waive all moral rights in any Content you submit to the Website.

You warrant that any Content you submit is original material and is not obscene, threatening, menacing, offensive, defamatory, abusive, likely to cause annoyance, inconvenience or needless anxiety, in breach of confidence, in breach of any intellectual property right (including without limitation, copyright) or otherwise in breach of or violation of any applicable law, regulation or code.

The publication of any Content you submit to the Website will be at Imediasport's sole discretion and Imediasport reserves the right to edit or otherwise amend such material prior to publication and remove any such material from the Website in its sole discretion.

You agree that Imediasport may (at its discretion) disclose your identity to any third party who claims that any material submitted by you to the Website is defamatory, in breach of confidence, in breach of any intellectual property right or otherwise is in breach of or violates any applicable law or regulation or code.

You agree that Imediasport may use your name and any Content you submit for promotional purposes both on the Website and in any other media.

You agree that any breach of the warranties set out in these Terms may cause Imediasport damage or loss and you agree to indemnify Imediasport in full and permanently on demand against any third party liabilities, claims, costs, loss or damage Imediasport incurs as a result of publishing material you submit to Imediasport, including consequential losses.

We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Content on the Services and to terminate users or reclaim usernames.

You may not in any way use the Services or the Website or post Content for your own commercial gain, for advertising, marketing or promotional purposes without Imediasport's prior written agreement. If we consent, you take full responsibility for such commercial messaging, advertising, marketing or promotion and you will abide by our Advertising Guidelines and all applicable laws.

We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of Imediasport, its users and the public.

You may not do any of the following while accessing or using the Services: (i) access, tamper with, or use non-public areas of the Services, Imediasport's computer systems, or the technical delivery systems of Imediasport's providers; (ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (iii) access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by Imediasport (and only pursuant to those terms and conditions), unless you have been specifically allowed to do so in a separate agreement with Imediasport (NOTE: scraping the Services without the prior consent of Imediasport is expressly prohibited); (iv) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive or false source-identifying information; or (v) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations contained in these terms may not apply to you.

The parent/guardian hereby agrees to indemnify and hold harmless Imediasport for any and all losses (direct, indirect, consequential or otherwise) that it suffers that have arisen from any of the Content provided by the child and/or parent/guardian.

You acknowledge that you are based in the UK and are a legal UK resident at the time of uploading any Content.

The failure of Imediasport to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

These Terms, any action related thereto and any non-contractual obligations arising out of them will be governed by the law of England and Wales. All claims, legal proceedings or litigation arising in connection with the Services will be brought solely in England and Wales, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

Imediasport links Content to Facebook and Youtube. By entering the Competition you agree to be bound, where applicable, by Facebook and Youtube's terms and conditions and you acknowledge that Imediasport shall have no liability for any losses (whether direct, indirect, consequential or otherwise) that you may incur that have been caused by any breach by Facebook or Youtube of these terms and conditions or any relevant laws, or by any breach by Imediasport of Facebook and Youtube's terms and conditions as a result of the Content you uploaded. The provisions of this Clause 2.8 shall apply to any other third party social media platform that Imediasport chooses to use from time to time.

We may share or disclose your information without your explicit consent.

We engage certain trusted third parties to perform functions and provide services to us. The Competition is directed to people under 18 years of age. As such the consent of their parent/guardian is required for the entrant to proceed in the Competition when the entrant first registers on the Website.

If we become aware that a child under 8 has provided us with personal information, we take steps to remove such information and terminate the child's account.

Imediasport encourages all parents to instruct their children in the safe and responsible use of their personal data when using the internet.
